1. Acceptance of Terms
By accessing this website or using Nostrum Health services, you agree to these Terms of Service. If you do not agree, do not use the website or services. A signed engagement agreement controls if it conflicts with these website terms for a purchased service.
2. Services
Nostrum Health provides scoped Amazon strategy, launch, managed operations, AI-enabled workflow coordination, Canadian natural health product regulatory, quality, import, product-readiness, and marketplace services. The services actually purchased, the responsible parties, deliverables, permissions, approval boundaries, exclusions, dependencies, outside costs, and decision rights are set out in the applicable proposal or engagement agreement.
3. Pricing and Payment
Public pricing describes only the qualified Manufacturer-to-Amazon Partnership and does not apply automatically to standalone regulatory work, AI Brand Launch, quality operations, AI Amazon Growth, or other custom engagements. Your signed engagement agreement controls the applicable fees, product contributions, deductions, revenue sharing, third-party charges, taxes, payment timing, and renewal or termination terms.
4. Regulatory and Commercial Outcomes
Health Canada, border agencies, marketplaces, laboratories, manufacturers, logistics providers, and other third parties make independent decisions and perform their own work. Unless a signed agreement expressly states otherwise, Nostrum does not guarantee authorization, clearance, timing, marketplace acceptance, product availability, sales, ranking, profitability, or another third-party outcome.
5. Your Responsibilities
You are responsible for providing complete, accurate, and timely product, formula, evidence, manufacturing, testing, licence, shipment, sales, complaint, and distribution information; making the business decisions assigned to you; and fulfilling the legal and operational duties retained under your engagement agreement. Material omissions or misrepresentations may delay or end the engagement.
6. Intellectual Property
You retain ownership of client-supplied product information, brand assets, and business data. Ownership and licence rights for final commissioned listings, reports, creative briefs, and other engagement deliverables are governed by the signed engagement agreement. Nostrum retains its pre-existing software, templates, methods, workflows, agent configurations, general know-how, and other background materials. Website content and third-party materials remain subject to their applicable rights, terms, and licences.
7. Acceptable Use
You must not use the website or forms unlawfully; submit false, misleading, infringing, malicious, or unauthorized information; attempt to gain access to retired or restricted systems; interfere with security or availability; scrape or automate requests in a manner that burdens the service; transmit malware; impersonate another person; or use website content to misrepresent an affiliation, authorization, licence, approval, or commercial result.
8. Suspension and Termination
We may restrict or suspend website access or decline an enquiry where reasonably necessary for security, abuse prevention, legal compliance, or protection of our systems and rights. Service suspension, termination, transition, inventory disposition, final accounting, data return, and surviving obligations are governed by the signed engagement agreement. Mandatory rights and obligations under applicable law are not excluded.
9. No Warranties
The public website and its general information are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted availability, and results. Nothing on the website is legal, medical, customs, tax, or investment advice. This disclaimer does not exclude warranties or remedies that cannot lawfully be excluded.
10. Limitation of Liability
Nostrum Health is not liable for delays or decisions caused by regulators, platforms, carriers, customs authorities, manufacturers, laboratories, other third parties, regulatory changes, incomplete client inputs, or circumstances beyond our reasonable control. Any engagement-specific liability terms are governed by the signed engagement agreement.
11. Governing Law
These website terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory consumer or statutory right, disputes concerning these website terms are submitted to the courts located in Ontario. A signed engagement agreement may contain a different governing-law or dispute provision for that engagement.
